Legal Counsel - General Lending and Real Estate (4733)

Key Relationships:

You will be part of the Investec Bank plc Legal Team.

The General Lending role will assist various business units across Investec Bank plc with providing finance to HNW individuals, entrepreneur backed corporates and large borrowers on a bilateral or syndicated basis.

The Real Estate lending business is split in two distinct teams (i) Corporate lending, who lend to “blue chip” corporate borrowers on a bilateral or club basis and (ii) Private Client lending, who lend to a more traditional client base including HNW individuals and Family Offices on a bilateral basis.

Duties would include assisting with:

1. Transaction structuring and assisting with legal aspects in the preparation of credit papers;
2. Understanding and balancing the commercial drivers and risk appetite of the business against laws and regulations;
3. Providing expert and timely advice in relation to law and regulation;
4. Managing transactions and coordinating the provision and delivery of external legal advice to ensure the timely negotiation, execution of transactions to include ensuring that external advisers are appropriately appointed and briefed throughout the transaction;
5. Reviewing and negotiating all finance agreements (including ancillary documentation) from inception of the transaction to its completion. This would include:
a. Term sheets
b. Facility (LMA and in-house templates), security, intercreditor and other related documentation;
c. Debt and advisory mandate letters;
6. Assisting with the drafting and maintenance of standard house style documentation for the team and external counsel in conjunction with the GC, Head of Legal;
7. Actively liaising with the GC and/or Bank's credit function and analysis forums and credit monitoring and reporting teams to ensure that all transactions are executed within the relevant credit approvals ; and
8. Assisting with all business as usual matters (extensions, amendments, waivers, reliance letters, deeds of release); and
9. You will be expected to gain a good understanding of the business by working closely with your colleagues in IBP Legal, and the business in order to provide proactive legal support.

You will liaise with various business enablement teams, including Group Lending Operations, Company Secretarial, Onboarding, AML, Compliance, Credit and Tax to ensure seamless transaction support for our deals and transactions.

Technical knowledge / Education

• 2-4 years UK PQE in a reputable UK law firm;
• Real Estate finance experience required;
• In-house experience a bonus;
• Experience relating to general lending, restructuring, in particular experience of syndicated/club lending and close familiarity with relevant LMA documentation; and
• Experience of working with legal research tools.
