Role: Private Client Lending Lawyer 

Location: London

What does the role involve and what are the key responsibilities? 

The High Net Worth (HNW) Private Client Lending (PCL) business offers secured and unsecured loans either directly or via their investment vehicles to HNW private individuals within various sectors including Entrepreneurs, Private Equity, Fund Management, Investment Banking & City Professionals.

The secured loans can be secured against both residential & commercial property, cash, investible securities, wealth portfolios and unlisted equity. Where property is the asset class, the loans fall into one of 3 categories regulated mortgage contracts, development finance or commercial investment. Unsecured loans are provided either for Private Equity partners to fund co-investment requirements or established clients who require agreed term funding and/or overdrafts. The business also manages loans which fall into default, and enforcement if and when required.

  • Assisting PCL and lending legal operations with deal structuring, drafting and execution ;
  • Liaising with the wider credit, risk and compliance and operational community  throughout the process where appropriate;
  • Reviewing the credit sanction, and providing advice on loan conditions;
  • Drafting and negotiating regulated and non-regulated offer letters (using various Bank templates) in line with the credit sanction;
  • Instructing external counsel and managing the transaction to completion;
  • Management of the PCL's standard form precedents, undertaking strategic reviews of standard form precedents with the Bank's panel solicitors
  • Keeping track of and advising the PCL of any relevant changes in law or regulation that would affect  PCL

What core skills and knowledge are we looking for? 

Technical knowledge

  • You will be a solicitor with 5-8 years' PQE and experience in retail financial services having been gained at a reputable law firm;
  • Ability to demonstrate a deep level of understanding of the regulation of HNW loans generally: practical experience and strong technical skills in the regulation of mortgages, article 3(1)(b) lending and other HNW loans, including MCOB and Consumer Credit, Consumer  Rights Act and CONC and the rules on financial promotions and distance marketing of financial services;
  • An understanding of custody arrangements for supporting portfolio lending;
  • Solid drafting skills

  • Excellent legal technical ability relating to the application of relevant laws and regulations;
  • Excellent verbal and written communication skills;
  • Ability to work autonomously with limited supervision or in a team in the delivery of the PCL offering;
  • Keen to learn and broaden skills and experience;
  • Flexible team player, with a focus on team performance;
  • Ability to prioritise workload and meet tight deadlines, with good organisational skills.
  • Commercially minded - understand and take into account wider business considerations in order to see ‘the big picture'.
